PinkPacker provides a platform and tools for global meat trade. Each trade is a contract between a seller and a buyer; unless separately agreed, PinkPacker is not a party to it. That principle runs through these Terms.
1Purpose
These Terms govern your use of the website operated by PinkPacker Inc. ("PinkPacker", "we") at pinkpacker.com and of TradeOS, our trade platform, including the Marketplace, Customs Assistant, PinkTag IoT and the TradeOS API (together, the "Service"). They set out the conditions of use and the rights, obligations and responsibilities of PinkPacker and users.
2Definitions
- User — any company, sole trader or individual using the Service under these Terms
- Member — a User that has entered into a service agreement with PinkPacker and been issued an account
- Seller / Buyer — Members who express intent to sell or purchase meat or other goods through the Service and proceed with a trade
- Trade — a sale-and-purchase contract formed between a Seller and a Buyer, and its performance
- Content — product listings, documents, images, sensor data and any other material a User uploads to the Service
3Effect and amendment
These Terms take effect when posted on the Service or otherwise notified to Users.
We may amend these Terms within the limits of applicable law. Amendments are announced at least 7 days before the effective date, together with the reason, and at least 30 days before for changes unfavourable to Users. Continued use of the Service after the effective date without objection constitutes acceptance of the amended Terms.
4The Service
- Marketplace — product listings, buy requests, matching recommendations, counterparty information
- Customs Assistant — validation of mandatory fields in trade documents (invoice, packing list, B/L, certificate of origin, health certificate, etc.) with correction guidance
- PinkTag IoT — collection, recording and provision of sensor data such as temperature during transit
- TradeOS API — a programming interface for integrating the above with your own systems
Nature of the Service. PinkPacker operates a platform that provides tools and information for trading. Unless expressly agreed in a separate written contract, PinkPacker is not a party, agent, broker or guarantor of any Trade. Matching recommendations, price suggestions, document-validation results and quality predictions are provided for reference only and do not guarantee that a Trade will close, that customs will clear a shipment, or the quality of any goods.
5Account
A service agreement is formed when a User accepts these Terms, applies through the procedure we specify, and we approve the application. We may withhold or refuse approval where a business cannot be verified, false information is provided, or there is a history of legal violations.
Members must keep account information accurate and safeguard credentials such as passwords and API keys. Members must notify us immediately upon learning of any unauthorised use; Members are responsible for use that occurs before such notice.
6User obligations
Users must not:
- upload false product information, forged or altered trade documents, or manipulated quality data;
- violate import/export laws, quarantine and sanitary regulations, sanctions regimes or rules of origin;
- use counterparty information obtained through the Service for other purposes, or solicit trades outside the Service (circumvention);
- infringe PinkPacker's or any third party's intellectual property or trade secrets, reverse-engineer, scrape, or make excessive API calls;
- interfere with the normal operation of the Service.
On breach, we may remove Content, restrict use or terminate the agreement, with prior notice (or subsequent notice in urgent cases).
7Responsibility for trades
The terms of any Trade between a Seller and a Buyer (price, quantity, specification, delivery and payment terms, claims handling, etc.) are governed by the contract between those parties. Performance, payment, product quality and safety, customs clearance and taxes are the responsibility of the respective parties.
PinkPacker does not warrant the accuracy of information supplied by trading parties and has no obligation to intervene in disputes between them. Objective data stored in the Service, such as PinkTag sensor logs, may be provided at a party's request as reference material for dispute resolution.
8Intellectual property
All intellectual property in the Service and its components (software, algorithms, design, trademarks, documentation) belongs to PinkPacker. Users receive only a non-exclusive, non-transferable right to use the Service within the scope of these Terms.
Users retain rights in the Content they upload. Users grant PinkPacker permission to store, process and use Content to provide, improve and analyse the Service, including training matching models. PinkPacker does not disclose identifiable trade information to third parties without the User's consent and uses only aggregated or de-identified data for service improvement.
9Data and security
We protect User data with reasonable technical and organisational measures. Users are responsible for the accuracy and lawfulness of the data they upload, including obtaining any consents required for third-party information.
On termination, we delete or de-identify User data within a reasonable period, except where retention is required by law.
10Changes and suspension
We may change all or part of the Service for operational or technical reasons. We may temporarily suspend the Service for scheduled maintenance, equipment failure, network outage, force majeure, or failures of third-party services (cloud, payment, logistics data, etc.), and will give advance notice where practicable.
11Disclaimer of warranties
The Service is provided "as is". We do not warrant that the Service is fit for a particular purpose, will be error-free or uninterrupted, that document-validation results will match the determinations of any customs authority, or that sensor data will always be accurate. To the extent permitted by law, all express and implied warranties are excluded.
12Limitation of liability
Except in cases of wilful misconduct or gross negligence, PinkPacker is not liable for:
- loss arising from Trades between Users, product defects, non-payment, customs delay or refusal, or quarantine failure;
- loss caused by errors or falsehoods in information uploaded by Users;
- loss caused by third-party service failures, network failures or force majeure;
- lost profits, loss of business, or indirect, special or consequential loss.
To the extent permitted by law, PinkPacker's aggregate liability is capped at the total service fees paid by the User to PinkPacker in the 12 months preceding the event giving rise to the claim.
13Privacy
We process personal data in accordance with our Privacy Policy.
14Governing law and jurisdiction
These Terms and any dispute relating to the Service are governed by the laws of the Republic of Korea. Parties will first seek to resolve disputes in good faith; failing that, the court having jurisdiction over PinkPacker's head office has exclusive jurisdiction at first instance, unless the parties to an international transaction have agreed otherwise in writing.
These Terms are provided in Korean and English. In the event of any inconsistency, the Korean version prevails.
